Which Technology?
If WebForms then , keep your third textbox readonly and enable it from code behind
"txt3" runat="server" ReadOnly="true">
protected void TextBox2_TextChanged(object sender, EventArgs e)
    {
        if(Convert.ToInt32(TextBox2.Text)>Convert.ToInt32(TextBox1.Text))
        {
TextBox3.ReadOnly= false;
        }
    }

Hi Ramco,

Please use this one in Aspx page,
"txtBalanceTobePaid" runat="server" AutoPostBack="True" OnTextChanged="txtBalanceTobePaid_TextChanged" >
"txtBalancePaid" runat="server" AutoPostBack="True" OnTextChanged="txtBalancePaid_TextChanged">
"txt3" runat="server"  ReadOnly="true">
Code behind page,
protected void txtBalanceTobePaid_TextChanged(object sender, EventArgs e)
{
        EnableTextBox();
}

protected void txtBalancePaid_TextChanged(object sender, EventArgs e)
{
   EnableTextBox();
}

Private void EnableTextBox()
{
if(!string.IsNullOrEmpty(txtBalanceTobePaid.Text) && !string.IsNullOrEmpty(txtBalancePaid.Text) &&
           Convert.ToInt32(txtBalanceTobePaid.Text) > Convert.ToInt32(txtBalancePaid.Text))
        {
               txt3.ReadOnly= false;
        }
